Welcome to FTW Remodeling (“we”, “us”, “our”, “Company”). These Terms & Conditions (“Terms”) govern your access to and use of our website (https://ftwremodeling.com) (the “Site”) and the services we provide (the “Services”), including remodeling, renovation, design, and related services. By using our Site or engaging us for Services, you agree to be bound by these Terms.

If you don’t agree to these Terms, you should not use the Site or request/accept our Services.

1. Definitions

  • Client / You / Your — any person or entity using our Site or engaging us for Services.

  • Services — all services we provide, including but not limited to design, remodeling, renovation, consultation, project management, construction, and related services.

  • Proposal / Contract — written document, estimate, quote, or agreement between the Client and us describing the scope, cost, timeline, and terms for the Services.

  • Site — our website and associated web pages, content, tools, and features.

2. Use of the Site

  • You may use the Site only for lawful purposes and in accordance with these Terms.

  • You agree not to use the Site in any way that violates applicable local, state, national, or international laws or regulations.

  • You agree not to attempt to gain unauthorized access to our systems, disrupt or interfere with the Site, or use automated means (bots, scrapers) unless permitted in writing by us.

  • We may suspend or terminate your access to the Site at any time and for any reason, without notice, in our discretion.

3. Provision of Services & Contracts

  • Any Services we agree to perform for you will be governed by a separate written Proposal / Contract, which will supersede any inconsistent terms here to the extent of the inconsistency.

  • The Proposal / Contract will include (as applicable):
      a) Scope of work (what we will do)
      b) Project timeline / schedule
      c) Cost, payment schedule, and terms
      d) Change order procedures
      e) Warranties, if any
      f) Liability, indemnity, termination, and governing law clauses

  • You agree to cooperate with us (e.g. providing access, approvals, decisions, required permits) so that we can perform the Services. Delays caused by you may result in additional costs or schedule changes.

  • Any changes or additions to the scope must be documented via a written change order or amendment, signed by both you and us, and may incur additional fees and changes to schedule.

4. Payments & Invoicing

  • Unless otherwise agreed in the Proposal / Contract, a deposit or down payment may be required prior to commencement of work.

  • We will invoice you as per the schedule in the Proposal / Contract. Payment is due within the timeframe specified (e.g. 30 days).

  • Late payments may incur interest or late fees as permitted by applicable law.

  • If you fail to pay, we may suspend work or terminate the contract, and you may remain liable for work performed and costs incurred to date.

5. Permits, Inspections & Compliance

  • You are responsible for obtaining necessary permits, approvals, inspections, and compliance with building codes, zoning, and other applicable regulations unless the Proposal / Contract states we will do so.

  • We will comply with applicable laws, building codes, and industry standards in performing the Services.

  • You will provide access and any cooperation needed for inspections and regulatory compliance.

6. Warranties & Disclaimers

  • We warrant that our work will be performed in a professional manner consistent with industry standards.

  • Except as expressly stated in the Proposal / Contract, we make no other warranties (express or implied), including warranties of merchantability or fitness for a particular purpose.

  • Materials, fixtures, or equipment provided by you or third parties may have separate warranties; we are not responsible for warranties of third‑party manufacturers unless specifically agreed.

7. Limitation of Liability

  • To the fullest extent permitted by law, our liability under or in connection with the Services or the Site (whether in contract, tort, warranty, or otherwise) is limited to the total amount you have paid to us under the applicable Proposal / Contract.

  • In no event will we be liable for indirect, incidental, special, punitive, or consequential damages (including lost profits, loss of use, or downtime), even if advised of the possibility.

  • This limitation does not apply to liability that cannot be disclaimed under applicable law (e.g. for gross negligence, fraud, or willful misconduct, if applicable under your jurisdiction).

8. Indemnification

You agree to defend, indemnify, and hold harmless FTW Remodeling, its officers, agents, subcontractors, and employees from and against any claims, liabilities, damages, losses, costs, or expenses (including legal fees) arising out of or relating to:

  • your breach of these Terms or the Proposal / Contract;

  • your misuse of the Site;

  • acts or omissions by you or your agents or invitees;

  • violation of applicable laws or third‑party rights.

9. Intellectual Property

  • All content, logos, designs, images, text, software, and other intellectual property on the Site or in our deliverables (“IP”) are owned or licensed by us, unless otherwise stated.

  • You may not copy, reproduce, distribute, publicly display, or create derivative works of our IP except as permitted by us in writing.

  • If you provide content (e.g. images, designs) to us, you represent and warrant you have the right to grant us the necessary license to use them in the performance of the Services.

10. Privacy & Data Protection

  • Our handling of your personal data is governed by our Privacy Policy, which is incorporated by reference into these Terms.

  • By providing your information, you consent to its collection, use, and disclosure as described in the Privacy Policy.

11. Termination

  • Either party may terminate the Proposal / Contract (or the Services) upon written notice if the other party materially breaches the agreement and fails to cure within a specified period.

  • Upon termination:
      a) You will pay us for all work performed to the date of termination, plus any costs incurred.
      b) We may retain lien rights or other remedies under applicable law.

  • Termination of one contract or service does not automatically terminate these Terms (as they apply to the Site), unless we specify.

12. Governing Law & Dispute Resolution

  • These Terms and any Proposal / Contract will be governed by and construed in accordance with the laws of [State / Province / Country], without regard to conflict of laws rules.

  • Any dispute arising from or relating to these Terms or the Services may be resolved via [negotiation / mediation / arbitration / court litigation – choose what fits your business].

  • No waiver of any breach or right under these Terms is effective unless in writing and signed by the party waiving. A waiver of one breach does not constitute a waiver of subsequent breaches.

14. Changes to Terms

  • We may update or revise these Terms at any time. When we do, we will post the updated version on the Site, along with a revised Effective Date.

  • Your continued use of the Site or engagement of Services after changes constitute acceptance of the revised Terms (unless you notify us otherwise in accordance with a procedure described by us).

15. Miscellaneous

  • The relationship between you and us is that of independent contractors; nothing in these Terms shall make either party an agent, partner, or joint venture of the other.

  • Headings are for convenience only and do not affect interpretation.

  • These Terms (as amended from time to time) plus any Proposal / Contract constitute the entire agreement between us regarding the subject matter, superseding any prior agreements or understandings.
